Terms of Service

1. Acceptance of Terms

By accessing or using ScholarBridge Analytics ("ScholarBridge", "we", "our", or "the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform. These Terms apply to all visitors, registered users, scholars, consultants, corporate clients, and administrators.

2. Description of the Platform

ScholarBridge is an online platform that bridges academia and industry. It facilitates the following services and functionality:

• Academic project management (proposal development, data collection, data analysis, thesis and manuscript writing, publication support, and poster preparation);
• Academic translation services (Turkish, French and Arabic into English);
• An AI-assisted writing and publication refinement toolset (proofreading, rewriting, journal formatting, citation checking and word-count reduction);
• An industry research & development marketplace connecting corporate clients with scholars and consultants, including applicant matching;
• Partnership management, including memoranda of understanding, non-disclosure agreements and e-signature tracking;
• Scheduling of consultations and mock-defence sessions;
• Invoicing, retainers and payment processing;
• Learning management (courses) and a secure file repository.

3. User Accounts and Eligibility

You must be at least 18 years old to create an account. You agree to provide accurate, current and complete information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Responsibilities and Acceptable Use

You agree not to:

• Use the Platform for any unlawful, fraudulent or harmful purpose;
• Upload or transmit malicious code, viruses or content that infringes the intellectual property rights of others;
• Attempt to gain unauthorised access to other users' data, accounts or restricted areas of the Platform;
• Interfere with or disrupt the integrity, security or performance of the Platform;
• Misrepresent your identity, qualifications or affiliation with an institution;
• Scrape, harvest or otherwise extract data from the Platform without prior written consent.

5. Intellectual Property

You retain ownership of the academic work, research, documents and files you upload to the Platform ("Your Content"). By uploading Your Content, you grant ScholarBridge a limited, non-exclusive licence to store, process and display it solely for the purpose of providing the services you request. All software, branding, design and other materials constituting the Platform remain the property of ScholarBridge and its licensors. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Platform as described.

6. AI-Assisted Services Disclaimer

Certain features of the Platform use third-party artificial-intelligence models to assist with writing, editing, translation and publication refinement. Outputs generated by these tools are provided "as is" for convenience only. You are solely responsible for reviewing, verifying and accepting any AI-generated content before using it in academic, professional or published work. ScholarBridge does not guarantee the accuracy, originality, or suitability of AI-generated output and accepts no liability for its use.

7. Payments, Billing and Retainers

Fees for paid services are displayed at the time of purchase or agreed in a separate written agreement. Unless otherwise stated, all amounts are in the currency indicated and exclude applicable taxes. Payment may be processed by third-party payment providers, whose terms also apply. Retainers and prepaid balances are billed according to the applicable schedule and are non-refundable except where required by law. You are responsible for providing accurate billing information and for any charges incurred under your account.

8. Confidentiality

We maintain administrative, technical and physical safeguards designed to protect Your Content. Documents uploaded to the secure file repository are encrypted in storage and are accessible only to you and the specific users you or your project team authorise. We will not disclose Your Content to third parties except (a) as necessary to provide the services, (b) with your consent, or (c) as required by law.

9. Third-Party Services

The Platform may integrate with third-party services, including artificial-intelligence providers, payment processors, and video-conferencing tools for scheduled meetings. We do not control and are not responsible for the content, availability or privacy practices of these third parties. Your use of such services is subject to their respective terms and policies.

10. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the maximum extent permitted by law, ScholarBridge shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising out of or in connection with your use of the Platform. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to ScholarBridge in the twelve (12) months preceding the claim, or one hundred US dollars ($100) if you have not made a payment.

11. Termination

You may stop using the Platform at any time. We may suspend or terminate your access if you breach these Terms, if your account is inactive, or for any lawful reason, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers and limitation of liability) shall survive.

12. Changes to These Terms

We may modify these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which ScholarBridge Analytics operates, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
